1Acceptance of Terms & Binding Nature

By accessing, browsing, registering, subscribing, or using the Corona Fi Lite SaaS software, API services, mobile interfaces, or related applications (collectively, the "Platform" or "Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

If you are accepting on behalf of an enterprise, company, partnership, or legal entity, you represent and warrant that you possess full legal authority to bind that entity to these Terms. If you do not agree to all terms and conditions, you must immediately terminate your use of the Platform.

2Description of Cloud Services & SaaS Scope

Corona Fi Lite provides a multi-tenant cloud-based enterprise resource planning (ERP) and financial management suite tailored for Indian businesses, wholesalers, retailers, distributors, manufacturers, and service enterprises. Core capabilities include:

• GST compliant Tax Invoices, Proforma Invoices, Credit/Debit Notes, and Delivery Challans.
• Purchase Order lifecycle management, vendor registers, and inventory item catalogs.
• Customer ledger accounting, payment collection logging, and automated digital receipts.
• Operating expense tracking, categorization, and comparative Profit & Loss ledgers.
• Multi-user role-based access control (OWNER, ADMIN, MANAGER, ACCOUNTANT, EMPLOYEE).
• Automated PDF document generation and one-click data export into Microsoft Excel (.xlsx) and JSON formats.

Notice on Cloud Connectivity: Corona Fi Lite is a 100% cloud-hosted SaaS. An active, stable internet connection is required to create invoices, sync databases, and verify subscriptions. No offline database synchronization is supported.

3Account Registration, Security & Multi-Tenant Roles

To access the Platform, you must register an account and configure a Company Workspace. You agree to:

• Provide true, accurate, current, and complete corporate and contact information (including Business Legal Name, Trade Name, GSTIN, PAN, Registered Address, and Primary Phone/Email).
• Maintain the confidentiality of your login credentials, multi-factor tokens, and account passwords.
• Accept sole responsibility for all transactions, invoice issuances, and user invites generated under your workspace.
• Immediately notify us at contact@coronasolar.in in case of suspected credential compromise, unauthorized workspace breach, or security incident.

4GST Compliance, Tax Invoicing & Merchant Responsibility

The Platform provides automated calculations based on standard Indian GST rules (CGST, SGST, IGST, HSN/SAC codes, and state tax rules). However:

• The Merchant retains exclusive legal liability for the veracity, commercial validity, tax categorization, and reporting accuracy of all invoices and receipts issued to third parties.
• Corona Fi Lite is a technology platform and does not provide formal chartered accountancy, legal tax advisory, or statutory tax filing representations.
• You are solely responsible for timely e-Invoice / IRN generation on the official NIC portal (where applicable by turnover mandates) and filing monthly/quarterly GSTR returns with government portals.

6Subscription Billing, Pricing & Auto-Renewals

Access to paid features is billed on a recurring subscription model (Monthly at ₹99/mo + 18% GST or Annual at ₹999/yr + 18% GST). By initiating a paid subscription:

• You authorize our secure payment gateway partner (Razorpay Software Pvt Ltd) to process your payment and register an auto-debit e-Mandate (via UPI Autopay, Debit Card, or Credit Card).
• Subscriptions automatically renew at the conclusion of each billing cycle unless you manually cancel auto-renewal via your Account Settings prior to the renewal date.
• All statutory taxes (including 18% Goods and Services Tax) are charged in accordance with Indian tax laws and reflected on your official monthly/yearly tax invoice receipt.

7Acceptable Use Policy & Prohibited Conduct

You expressly agree not to utilize the Platform to:

• Issue fictitious, counterfeit, fraudulent, or accommodation tax invoices without genuine underlying supply of goods or services.
• Engage in GST evasion, circular billing schemes, money laundering, or illegal trade financing.
• Reverse engineer, decompile, disassemble, scrape, or extract source code or proprietary algorithms from the platform.
• Probe, scan, or breach the vulnerability of our servers, networks, tenant boundary isolations, or authentication mechanisms.
• Upload malicious code, viruses, trojans, ransomware, or disrupt platform uptime for other workspace tenants.

Violation of this Acceptable Use Policy constitutes grounds for immediate workspace termination without refund and referral to statutory cyber-crime and tax enforcement authorities.

8Intellectual Property Rights

All software code, database architecture, visual design elements, user interface components, brand names, trademarks, logos ("Corona Fi Lite", "CORONA PHOTOVOLTAIC POWER", "C P POWER"), and proprietary algorithms are the exclusive intellectual property of CORONA PHOTOVOLTAIC POWER PRIVATE LIMITED. No ownership rights are transferred to the Merchant under this subscription license.

9Service Level, Uptime & Maintenance

We strive to provide 99.9% application uptime. However, temporary downtime may occur due to scheduled maintenance, emergency security patches, cloud hosting infrastructure upgrades, network carrier failures, or force majeure events. We provide advance notification for major scheduled maintenance windows whenever commercially practicable.

10Limitation of Liability & Monetary Cap

To the maximum extent permissible under applicable Indian law:

• In no event shall the Company, its directors, officers, employees, or affiliates be liable for any indirect, special, incidental, punitive, or consequential damages (including lost profits, lost business opportunities, tax penalties, or data loss).
• The aggregate monetary liability of the Company for all claims arising under or related to this Agreement shall strictly not exceed the total amount actually paid by you to the Company in the preceding three (3) months immediately prior to the event giving rise to the claim.

11Indemnification

You agree to defend, indemnify, and hold harmless CORONA PHOTOVOLTAIC POWER PRIVATE LIMITED, its directors, employees, and licensors from any claims, damages, liabilities, losses, costs, or tax penalties resulting from your breach of these Terms, unlawful tax invoicing, violation of third-party rights, or misuse of customer data.

12Termination, Suspension & Data Offboarding

You may cancel your subscription at any time. Upon subscription cancellation, your workspace remains fully accessible until the end of your active billing period. After termination:

• You may export all customer records, invoices, and expense registers via Excel (.xlsx) within thirty (30) days of cancellation.
• After sixty (60) days of sustained account dormancy or explicit deletion request, workspace records may be archived or permanently purged from primary active stores, subject to statutory tax record retention obligations under Indian law.

13Governing Law, Dispute Resolution & Jurisdiction

This Agreement shall be governed by, construed, and enforced in accordance with the substantive laws of India, without reference to its conflict of law principles.

Any disputes, controversies, or claims arising out of or relating to this Agreement shall be subject to the exclusive jurisdiction of the competent Courts situated in Lucknow, Uttar Pradesh, India.
